Terms of Service

1. Acceptance of Terms

By accessing or using services operated by Global Settlement Network, a subsidiary of Global Settlement Holdings Inc. ("GSN," "we," "us," or "our"), including websites and infrastructure (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Global Settlement Network. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Eligibility and Access

Our Services are designed for regulated institutions, governments, and enterprise organizations ("Clients"). By using our Services, you represent and warrant that:

• You are authorized to bind your organization to these Terms

• Your use complies with all applicable laws and regulations in your jurisdiction

• You have obtained all necessary regulatory approvals and licenses

• You will comply with all anti-money laundering (AML), know-your-customer (KYC), and sanctions requirements

3. Services Description

GSN provides blockchain-based settlement infrastructure, including but not limited to stablecoin issuance platforms, CBDC infrastructure, tokenization services, and interoperable settlement networks. Services are provided on an enterprise-license basis subject to separate commercial agreements.

Product availability varies by jurisdiction and regulatory approval. We reserve the right to modify, suspend, or discontinue any Service at any time without liability.

4. Regulatory Compliance

Clients are solely responsible for ensuring their use of GSN Services complies with all applicable laws, regulations, and licensing requirements in their jurisdictions. This includes, but is not limited to:

• Banking and financial services regulations

• Securities and commodities regulations

• Digital asset and cryptocurrency regulations

• Data protection and privacy laws

• AML/CFT and sanctions compliance

Digital Assets, Tokens, and Presale Activities. Any token issuance, digital asset offering, or presale conducted through or in connection with GSN Services shall comply with applicable United States federal and state law, including:

• Securities Act of 1933 and Securities Exchange Act of 1934

• Applicable SEC and FinCEN guidance on digital assets

• State money transmitter licensing requirements

• OFAC sanctions screening and compliance obligations

5. Prohibited Uses

You agree not to use GSN Services for any unlawful purpose or in any way that:

• Violates any applicable laws or regulations

• Facilitates money laundering, terrorist financing, or sanctions evasion

• Infringes on intellectual property rights

• Attempts to gain unauthorized access to our systems or networks

• Interferes with the operation or security of the Services

6. Intellectual Property

All content, software, technology, and materials provided through our Services are the intellectual property of GSN or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Services without express written permission.

Any feedback, suggestions, or ideas you provide about our Services become the property of GSN and may be used without compensation or attribution.

7. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to such collection and use. Clients are responsible for their own compliance with data protection laws regarding any personal data they process through our Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. Blockchain-based systems involve inherent technological and security risks, and you acknowledge these risks in using our Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GSN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for all claims related to the Services shall not exceed the amount paid by you to GSN in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless GSN and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable laws or regulations; or (d) your violation of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the JAMS Comprehensive Arbitration Rules and Procedures.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, for any reason including violation of these Terms or applicable laws. Upon termination, all rights granted to you will immediately cease.

13. General Provisions

These Terms constitute the entire agreement between you and GSN regarding the Services. If any provision is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not constitute a waiver.
